Welcome to AppStart ("AppStart," "we," "us," or "our"). These Terms & Conditions ("Terms") govern your access to and use of appstartdev.com, our websites, software, applications, platforms, development services, consulting services, hardware solutions, infrastructure services, artificial intelligence solutions, and related products and services (collectively, the "Services"). By accessing our website or engaging AppStart for services, you agree to these Terms. If you do not agree, please do not use our website or Services.

1. About AppStart

AppStart is a technology development and engineering company providing software development, hardware development, cloud infrastructure, DevOps, artificial intelligence, automation, systems integration, data platforms, legacy modernization, and related technology services. Our Services may include:

Specific services, deliverables, timelines, fees, ownership rights, and obligations may be established through a separate proposal, statement of work ("SOW"), master services agreement ("MSA"), order form, or other written agreement. Where a signed agreement conflicts with these Terms, the signed agreement will control for that specific engagement.

2. Use of Our Website

You may use our website for lawful purposes only. You agree not to:

  • Violate applicable laws or regulations
  • Attempt to gain unauthorized access to our systems
  • Interfere with website functionality or security
  • Introduce malicious code, malware, or harmful software
  • Scrape, copy, or reproduce substantial portions of our website without permission
  • Reverse engineer our website or proprietary technology
  • Impersonate AppStart or another individual or organization
  • Use our Services to facilitate unlawful activities
  • Attempt to access another customer's data or systems

We reserve the right to suspend or restrict access to our website or Services when reasonably necessary to protect our company, customers, systems, or other users.

3. Client Engagements

AppStart may provide services under individual contracts, proposals, SOWs, or other written agreements. Each engagement may specify:

  • Scope of work
  • Deliverables
  • Project milestones
  • Fees
  • Payment terms
  • Development responsibilities
  • Hosting and infrastructure responsibilities
  • Support obligations
  • Intellectual-property ownership
  • Licensing
  • Maintenance
  • Security requirements
  • Acceptance criteria
  • Termination rights

AppStart is not obligated to begin work until the applicable agreement has been accepted and any required deposit or payment has been received.

4. Fees and Payment

Unless otherwise agreed in writing, invoices are due according to the payment terms stated in the applicable proposal, SOW, invoice, or agreement. Late payments may result in:

  • Suspension of Services
  • Delayed delivery
  • Additional costs
  • Interest or late fees where permitted by law
  • Termination of the applicable engagement

Third-party expenses, infrastructure costs, cloud hosting, software licenses, API usage, hardware, shipping, subscriptions, and other external costs may be billed separately where applicable.

5. Project Changes

Technology projects frequently evolve. Requests outside the agreed scope may constitute a change request and may result in additional fees, development time, or revised delivery dates. AppStart will make reasonable efforts to communicate material scope changes before performing substantial additional work.

6. Intellectual Property

Unless otherwise stated in a written agreement, AppStart retains ownership of its pre-existing:

  • Software
  • Source code
  • Libraries
  • Frameworks
  • Algorithms
  • Models
  • AI systems
  • Development tools
  • Templates
  • Architecture
  • Infrastructure configurations
  • Documentation
  • Processes
  • Know-how
  • Trade secrets
  • Other proprietary technology

Client-specific deliverables and ownership rights will be governed by the applicable written agreement. Payment for development services does not automatically transfer ownership of AppStart's underlying technology, reusable components, frameworks, libraries, tools, or intellectual property.

7. Client Materials

You retain ownership of materials, data, content, trademarks, software, documentation, and other intellectual property that you provide to AppStart ("Client Materials"). You grant AppStart a limited right to access and use Client Materials solely as reasonably necessary to provide the Services. You represent that you have the necessary rights and permissions to provide Client Materials to AppStart.

8. Confidential Information

AppStart recognizes that technology projects may involve confidential business information, source code, product plans, customer information, technical specifications, credentials, financial information, and other sensitive information. We will use reasonable measures to protect confidential information provided to us. Where appropriate, confidentiality obligations will be governed by a separate Non-Disclosure Agreement ("NDA") or confidentiality provision contained within an applicable MSA or SOW.

9. Artificial Intelligence Services

AppStart may develop, configure, integrate, or operate artificial intelligence, machine-learning, automation, robotics, or Agentic AI systems. AI-generated results may contain errors, inaccuracies, omissions, or unexpected behavior. Unless expressly agreed otherwise, AI systems provided by AppStart should not be considered a substitute for professional judgment, human review, regulatory compliance, safety procedures, or other appropriate oversight. Clients are responsible for determining whether an AI system is appropriate for their intended use. Where an AI system interacts with external services, APIs, databases, models, or third-party platforms, performance may depend upon those third parties.

10. Hardware and Embedded Systems

AppStart may develop or integrate hardware, embedded software, firmware, robotics systems, sensors, servers, networking equipment, or other physical technology. Unless expressly stated in writing, AppStart does not guarantee that third-party hardware, components, manufacturers, suppliers, or infrastructure will remain available, compatible, or supported indefinitely. Hardware projects may require additional testing, certification, regulatory approval, manufacturing validation, or safety review before commercial deployment.

11. Third-Party Services

Our Services may depend on third-party providers, including:

  • Cloud providers
  • Hosting companies
  • Payment processors
  • AI model providers
  • API providers
  • Software vendors
  • Hardware manufacturers
  • Telecommunications providers
  • Analytics platforms
  • Other technology providers

AppStart is not responsible for outages, price changes, security incidents, discontinuation, performance issues, or other failures caused solely by third-party providers.

12. Security

AppStart takes reasonable measures to protect systems and information entrusted to us. However, no internet-connected system, network, software application, cloud environment, or electronic transmission can be guaranteed to be completely secure. Clients are responsible for maintaining appropriate credentials, access controls, authentication mechanisms, backups, and security procedures applicable to systems under their control.

13. Availability and Maintenance

We make reasonable efforts to maintain reliable Services but do not guarantee uninterrupted availability. Services may occasionally be unavailable due to:

  • Maintenance
  • Upgrades
  • Infrastructure failures
  • Cybersecurity incidents
  • Third-party outages
  • Internet disruptions
  • Hardware failures
  • Force majeure events
  • Circumstances outside our reasonable control

14. No Guarantee of Business Results

AppStart provides technology development and engineering services. Unless expressly guaranteed in a written agreement, we do not guarantee that our Services will:

  • Increase revenue
  • Reduce costs
  • Produce a particular return on investment
  • Achieve a particular business result
  • Eliminate operational risk
  • Produce a specific AI result
  • Meet an unstated business objective

15. Disclaimer of Warranties

To the maximum extent permitted by law, the website and Services are provided on an "as is" and "as available" basis. AppStart disclaims all warranties not expressly stated in a written agreement, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted availability. Nothing in these Terms excludes warranties or rights that cannot legally be excluded.

16. Limitation of Liability

To the maximum extent permitted by law, AppStart will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, including lost profits, lost revenue, lost data, business interruption, or loss of anticipated savings. Except where prohibited by law or otherwise stated in a written agreement, AppStart's aggregate liability arising from an engagement will not exceed the amount paid to AppStart for the applicable Services during the twelve (12) months preceding the event giving rise to the claim. Certain agreements may establish different liability limitations.

17. Indemnification

You agree to indemnify and hold harmless AppStart, its owners, employees, contractors, and representatives from claims, damages, liabilities, costs, and expenses arising from:

  • Your unlawful use of our Services
  • Your violation of these Terms
  • Your Client Materials
  • Your violation of another party's intellectual-property rights
  • Your misuse of software or systems developed by AppStart
  • Your violation of applicable law

This provision does not apply to the extent caused by AppStart's own gross negligence, willful misconduct, or other conduct that cannot legally be indemnified.

18. Termination

Either party may terminate a project or engagement according to the applicable written agreement. AppStart may suspend or terminate access to Services when reasonably necessary because of:

  • Nonpayment
  • Material breach
  • Security concerns
  • Abuse of our systems
  • Illegal activity
  • Other circumstances permitted by the applicable agreement

Upon termination, the parties remain responsible for obligations that accrued before termination.

19. Website Content

Information published on our website is provided for general informational purposes. We may update, modify, or remove website content at any time. We do not guarantee that all website content is complete, current, or error-free.

20. Changes to These Terms

We may update these Terms periodically. Updated Terms will be posted on this page with a revised effective date. Your continued use of our website following the posting of updated Terms constitutes acceptance of the revised Terms to the extent permitted by law.

21. Governing Law

These Terms will be governed by the laws of the State of Utah, without regard to conflict-of-law principles, unless a separate written agreement provides otherwise. Any dispute that cannot be resolved informally will be handled in the courts or a dispute-resolution forum specified by the applicable agreement, or, where no agreement applies, in an appropriate Utah jurisdiction.
